Claro, the Brazilian arm of telecom giant America Movil, is set to acquire a controlling stake in Desktop SA, a fast-growing internet provider. The deal values Desktop at $750 million and could reshape Brazil’s internet market.

Claro’s Big Bet on Brazil’s Internet Market

Claro Telecom Participações SA announced plans to buy roughly 73% of Desktop SA, a major provider of high-speed internet in Brazil’s largest state, São Paulo. The deal values Desktop at about 4 billion Brazilian reais, or $750 million, marking a big move by America Movil into Brazil’s competitive telecom sector.

Desktop SA operates in 200 cities across São Paulo, serving 1.2 million subscribers. São Paulo is Brazil’s economic powerhouse, with a diverse population and strong demand for reliable internet. For Claro, this acquisition means expanding its footprint and gaining access to a large base of residential and business customers.

Financial Details and Premium Offer

Claro will pay 2.4 billion reais after accounting for Desktop’s net debt, which works out to 20.82 reais per share. This price stands at a 45% premium over Desktop’s closing price last Friday on the São Paulo Stock Exchange. The company plans to make a cash offer, with the final amount subject to adjustment at closing.

Besides acquiring the majority stake, Claro will launch a tender offer to buy out minority shareholders at a price equal to or above the initial offer. This ensures a smooth transition and full control over Desktop’s operations.

Strategic Implications for America Movil

America Movil, controlled by billionaire Carlos Slim, has been steadily growing its presence in Latin America.

Claro’s acquisition of Desktop fits into a broader strategy to strengthen its broadband services amid rising demand for high-speed internet, accelerated by remote work and digital services.

Desktop’s network infrastructure and subscriber base offer Claro a valuable platform to compete with other players in Brazil’s telecom market, which includes giants like Telefônica Brasil and TIM. The deal could lead to enhanced service offerings, better coverage, and potentially lower prices for consumers.

Regulatory Approval and Market Reaction

The transaction awaits approval from Brazil’s regulatory authorities. Given the size of the deal and its potential impact on competition, regulators will likely scrutinize how the acquisition affects the market dynamics. Still, both companies expressed confidence in securing the necessary clearances.

Desktop’s shares surged following the announcement, reflecting investor optimism about the premium offer and potential synergies. The move also signals confidence in Brazil’s economic outlook, despite ongoing challenges in the region.

If approved, Claro’s acquisition of Desktop will mark a major shift in Brazil’s internet services landscape — expanding America Movil’s reach and intensifying competition among providers in a vital market.
